Registration of legal entities: terms and legal expenses
3-4 business days — 2 500, 00 UAH
State fees, notary public, manufacturing a seal, opening a temporary bank account (in cases of forming a charter capital of legal entity by monetary means) are included in legal expenses mentioned above. Please note legal expenses for registration of new legal entity are calculated with taking into account the incorporation of company by one shareholder. Should company is incorporated by more then one shareholder legal expenses increase to 300 UAH for each additional shareholder.

Registration of legal entities: — Chronological order of steps required for the normal operations of legal entities in Ukraine:
• Reserving the company's name;
• Drafting the constitutional documents;
• Notarization of constitutional documents;
• Opening a temporary bank account for formation of Charter capital (not obligatory);
• Handling registration with the relevant governmental body — State Company Register;
• Handling registrations with State Statistics Committee of Ukraine;
• Manufacturing a seal;
• Handling registration with the tax inspectorate;
• Handling registration with the state pension fund;
• Handling registration with Ukrainian Obligatory State Social Insurance Fund for Unemployment Cases;
• Handling registration with Ukrainian State Social Insurance Fund for work accidents;
• Handling registration with Ukrainian State Social Insurance Fund for temporary disability;
• Handling registration of legal entity as payer of VAT (value added tax) or single tax.
Registration of legal entities — List of documents necessary to obtain from shareholders (Ukrainian citizens) within the procedure of company incorporation
• Copy of shareholders' passports and identification codes;
• Copy of director's passport and identification codes;
• Copy of certificate on state registration of shareholders as sole practitioners (if available) — this copy is used in cases of discrepancy in shareholders personal details.
Note:
One of the shareholders of duly registered legal entity can be also a director of the company. Kindly note accountant as official is not obligatory. Legal entity may be incorporated by sole shareholder. The maximum number of shareholders for registration is ten.
Individuals, legal entities, residents and non-residents of Ukraine can incorporate legal entity in Ukraine and act as its shareholders.
Registration of legal entities — Documents provided by shareholders as legal entities (residents of Ukraine):
• Notarized copy of Certificate on state registration of the company;
• Board Minutes (resolution) approving a decision on incorporation of legal entity in Ukraine;
• Notarized power of attorney issued to our lawyers as duly authorized representatives of shareholder;
Registration of legal entities — Documents provided by shareholders as individuals (non-residents of Ukraine):
• Copy of passport (with Ukrainian visa, if available);
• Copy of identification code issued in Ukraine;
Note:
Passport of non-resident has to be translated into Ukrainian. The signature of duly authorized translator is subject to notarization. If the Ukrainian identification code is not available our lawyers will obtain the above mentioned identification code on the ground of the power of attorney issued by individuals (non-residents of Ukraine).
Registration of legal entities — Documents provided by shareholders as legal entities (non-residents of Ukraine):
• Document certifies registration of the company in the country of actual location (extract from trade, bank and court register, certificate, etc.);
• Board Minutes (resolution) approving a decision on incorporation of legal entity in Ukraine;
• Notarized power of attorney issued to our lawyers as duly authorized representatives of shareholder.
